From 2019 Companies will be obligated to disclose their true beneficiary owners

A beneficial owner of a legal person is a natural person who:

  • owns a legal entity, or
  • who manages it directly or indirectly with 25% and more share or more than 25% of ownership or voting rights, or
  • controls it by other means.


From 1 January 2019 all legal entities will be obligated to:

  1. Receive, update and keep accurate information about their actual beneficiaries. The exact information is considered:
  • beneficial owner’s name, surname;
  • date of birth;
  • the country issuing the identity document;
  • owned property rights and their scope (number of shares, percentage of voting rights);
  • other rights of control (Chairman of the Board, member of the Board, Head, senior manager, other duties, percentage of transferred voting rights).

2. Provide information on the beneficial owners to the Register of Legal Entities of the Republic of Lithuania.

Upon changes of the abovementioned data, the information must be provided to the Centre of Registers of the Republic of Lithuania within 10 days after the changes.
