{"id":3301,"date":"2020-07-07T00:00:00","date_gmt":"2020-07-07T00:00:00","guid":{"rendered":"https:\/\/new.leinonen.eu\/pol\/central-register-of-ultimate-beneficiaries-in-poland\/"},"modified":"2025-09-23T11:46:30","modified_gmt":"2025-09-23T11:46:30","slug":"central-register-of-ultimate-beneficiaries-in-poland","status":"publish","type":"post","link":"https:\/\/leinonen.eu\/pol\/news\/central-register-of-ultimate-beneficiaries-in-poland\/","title":{"rendered":"Central Register of Ultimate Beneficiaries in Poland"},"content":{"rendered":"<div>\n<h2>UBO Register in Poland<\/h2>\n<p>In Poland there is a new obligatory <a href=\"https:\/\/crbr.podatki.gov.pl\/adcrbr\/#\/\"><b>Central Register of Ultimate Beneficiaries <\/b><\/a>\u00a0(UBO Register) where all companies registered in Poland are obliged to submit information about ultimate beneficiaries till the <b>13th of July 2020<\/b>. The deadline was actually prolonged by 3 months due to COVID-19.<\/p>\n<p>The Central Register of Ultimate Beneficiaries collects information about \u00a0ultimate beneficial owners, i.e. natural persons exercising direct or indirect control over the company.<\/p>\n<h2>Tasks of UBO Register<\/h2>\n<p>One of the main tasks of CRUB is <strong>counteracting money laundering and terrorist financing<\/strong>. The goal behind establishing the registers is to <strong>secure the economic transactions, increase transparency and offer a possibility to check the contractors<\/strong>. Since 13th October 2019 everyone can check in the Register the identity of ultimate beneficiaries of contractors to check who is really behind a given entity. Having accurate and current data on actual beneficiaries is crucial for preventing criminals from concealing their identity in a complex corporate structure.<\/p>\n<h2>Who Is Considered the Ultimate Beneficial Owner?<\/h2>\n<p>According to Polish law, the <strong>ultimate beneficial owner is:<\/strong><\/p>\n<p>A natural person,<\/p>\n<ul>\n<li>who owns all or at least 25% of shares in a given company,<\/li>\n<li>or \/ and controls this company. In practise exercising control over a company means following situations:<\/li>\n<\/ul>\n<p>1) a person has more than 25% of the total number of votes in the company\u2019s decision-making body,<\/p>\n<p>2) a person exercises control over a legal person who is entitled to a min. 25% shares, shares or votes,<\/p>\n<p>3) in cases where the shareholding is dispersed and it is impossible to determine clearly who has a min. 25% of shares, the real beneficiary is a person (or persons) who has the rights to manage and represent the company (he is the founder, he belongs to the board of the company, etc.).<\/p>\n<h2>What Information Has To Be Submitted to the UBO Register?<\/h2>\n<p>Reported information includes:<\/p>\n<p><strong>1. Identification data of companies:<\/strong><\/p>\n<ul>\n<li>(company) name,<\/li>\n<li>organisational form,<\/li>\n<li>seat,<\/li>\n<li>number in the National Court Register,<\/li>\n<li>VAT number;<\/li>\n<\/ul>\n<p>2. <strong>Identification data of the ultimate beneficiaries and members of the decision-making body or partners authorised to represent the company:<\/strong><\/p>\n<ul>\n<li>name and surname,<\/li>\n<li>citizenship,<\/li>\n<li>country of residence,<\/li>\n<li>PESEL (Polish personal identification number) or the date of birth in the case of person does not have PESEL<\/li>\n<li>Information about the size and nature of shares or rights held by the ultimate beneficiary<\/li>\n<\/ul>\n<p>The data is be submitted on Central Register of Ultimate Beneficiaries\u2019 portal in the form of an <strong>electronic document<\/strong> with the template provided by the Ministry of Finance, and signed by a <a href=\"https:\/\/leinonen.eu\/pol\/news\/how-polish-electronic-signature-system-epuap-helps-to-communicate-with-public-administrations\/\"><strong>qualified electronic signature<\/strong><\/a> or ePUAP trusted profile, and submitted via website published by the Ministry of Finance.<\/p>\n<p>The person required to report the information is the person authorized to represent the company according to the National Court Register, typically the Management Board Member(s).<\/p>\n<p>There is a <strong>financial penalty of up to PLN 1,000,000<\/strong> if the company fails to notify the beneficiary to the register.<\/p>\n<\/div>\n<p>Leinonen is happy to assist you with all the necessary procedures for <a href=\"https:\/\/leinonen.eu\/pol\/services\/company-establishment\/\">establishing and running a business in Poland.\u00a0<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>UBO Register in Poland In Poland there is a new obligatory Central Register of Ultimate Beneficiaries \u00a0(UBO Register) where all companies registered in Poland are obliged to submit information about ultimate beneficiaries till the 13th of July 2020.
